Laprophan agrees to acquire Polymedic, subject to approval from Morocco’s Competition Council

The acquisition of 100% of Polymedic’s parent company would add brands, industrial capabilities and a distribution network to Laprophan. The price has not been disclosed, and the deal still requires regulatory approval.

Moroccan pharmaceutical group Laprophan, controlled by the Bennis family, has signed an agreement to acquire 100% of Corporate Investment Holding, the parent company of Polymedic laboratory. The deal could expand Laprophan’s product portfolio and industrial capacity in Morocco, but it has not yet closed: it requires prior approval from the country’s Competition Council. The companies have not disclosed the price or a timetable for completing the transaction.

What Polymedic would bring to the group

Founded in 1964, Polymedic employs around 280 people and operates a 9,600 m² plant in Casablanca. Its portfolio comprises more than 200 marketed products and includes 138 marketing authorizations across 12 therapeutic areas. The company develops and manufactures its own medicines and also works with licensed products; it also owns Promaceutique, its medical promotion subsidiary.

Its areas of activity include dermatology, cardiovascular diseases, central nervous system treatments, respiratory diseases and rheumatology. For Laprophan, adding these products, brands, registrations and manufacturing capabilities could complement its business and expand its distribution network. The company has said it is seeking industrial, logistical and commercial synergies, although the outcomes of any potential integration are not yet known.

A deal within a broader expansion

The proposed acquisition follows Laprophan’s recent acquisitions. In 2024, the group acquired all of Amanys Pharma and 75% of Botanic Pharma. In 2026, it purchased a controlling 60% stake in Swiss company Rivopharm, expanding its industrial presence in Europe.

According to published figures, Laprophan employs around 1,450 people, markets its medicines in more than 50 countries and manages over 1,300 marketing authorizations across 15 therapeutic areas. Its four production sites in Morocco and Switzerland cover a combined area of approximately 76,500 m² and have a capacity of more than 180 million units per year. The addition of Polymedic would strengthen its Moroccan production base; it has not specified how these figures would change after the deal.

Competition review is the outstanding step

The agreement was notified to the Competition Council, whose approval is required before Laprophan can take control. The review will assess the effects of the concentration in the markets concerned. One relevant question will be whether the combination affects competition in therapeutic categories where the two companies overlap. Available sources do not predict the outcome of the review or detail any conditions the regulator might impose.

Until approval is obtained and the other closing conditions are met, Polymedic remains a proposed acquisition. Accordingly, the synergies and expanded capabilities described by Laprophan are objectives of the deal, not effects that have already materialized.
